Terms for using AAF Ledgers.
These Terms govern access to the AAF Ledgers website, subscription service, AAF processing tools, and generated reports. By creating or using an account, or purchasing a subscription, you agree to these Terms.
The permanent copy of this version is available in the legal archive.
1. Business service and authority
AAF Ledgers is operated by Gremco Creative LLC.
AAF Ledgers is intended for professional and business use. You must be legally capable of entering an agreement and, when acting for a company or other organization, authorized to bind that organization. The organization responsible for a workspace is responsible for its members and their use of the service.
2. Accounts and workspace access
Each person must use an individually invited email address and may not share authentication links or credentials. Workspace owners control membership, billing, and administrative deletion. You are responsible for maintaining accurate account information, promptly removing users who should no longer have access, and notifying us of suspected unauthorized use.
3. Service and customer materials
The service reads metadata contained in uploaded AAF files and generates configurable CSV and XLSX reports. You retain ownership of uploaded files and metadata. You grant AAF Ledgers a limited license to receive, store, process, and delete those materials solely to operate, secure, support, and improve the service. You represent that you have the rights and permissions needed to upload and process them.
4. Report review and professional decisions
Reports may be incomplete or contain errors because of source metadata, export differences, unsupported structures, or software limitations. You must verify important information against the source AAF and other authoritative records before using a report for accounting, payroll, tax, legal, guild, contractual, or production decisions. AAF Ledgers does not provide professional advice.
5. Trial
The 7-day or 600-minute trial requires no card and does not convert automatically. A paid subscription begins only after the workspace owner completes checkout. Trial access ends after seven days or 600 processed minutes, whichever occurs first. Trial limits are shared across the workspace. We may modify or end trial access where necessary to prevent abuse or protect the service.
6. Paid access, renewal, and cancellation
Pay-per-use access is a one-time purchase at $1 per processed minute in whole-minute purchases of 20 to 148 minutes. It does not renew automatically, and unused prepaid minutes do not reset monthly. Starter is $149 per month and includes 300 shared processed minutes per billing month for up to 2 workspace members. Studio is $399 per month and includes 1,200 shared processed minutes per billing month for up to 5 workspace members. Enterprise is $899 per month and includes 5,000 shared processed minutes per billing month for up to 15 workspace members. Subscription allowances reset each billing period and unused subscription minutes do not roll over. Subscriptions renew automatically each month until canceled. Cancel online at any time from the workspace dashboard. Cancellation stops future renewals immediately, and access continues through the current paid billing period. Paid access does not include a customer backup or restoration service.
7. Refunds and service credits
Payments are non-refundable and are not prorated, except where required by law. If a verified AAF Ledgers processing failure incorrectly consumes minutes, we may restore those minutes. We may also provide a discretionary service credit or refund where circumstances warrant. Credits have no cash value, are non-transferable, and apply only to future AAF Ledgers charges. Nothing in this section limits rights that cannot lawfully be waived.
8. Taxes
Prices do not include taxes unless checkout states otherwise. You are responsible for applicable taxes, duties, and similar governmental assessments other than taxes based on our net income. We may calculate and collect taxes where required.
9. Acceptable use
You may not misuse the service, interfere with its operation, bypass usage or access controls, probe for vulnerabilities, upload malware, violate another person's rights, process materials unlawfully, resell access without written permission, or use automated means that impose unreasonable load. We may suspend access necessary to address security, fraud, legal, or operational risk.
10. File lifecycle and backups
Raw AAF files are deleted promptly after successful processing. Failed or abandoned uploads are deleted within 24 hours. Generated reports and processed data are deleted after seven days. The dashboard displays the four most recent jobs. Limited job, billing, consent, security, and accounting records may be retained separately as described in the Privacy Policy, with filenames and storage references removed or minimized after file deletion. You must download and maintain your own copies. We do not guarantee backup, restoration, or recovery.
11. Availability and changes
We may modify, maintain, or discontinue features and may experience interruptions. We will not materially reduce an active paid subscription without reasonable notice when practicable. Beta, trial, and newly introduced features may change more frequently.
12. Disclaimers
To the maximum extent permitted by law, the service is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, noninfringement, and uninterrupted or error-free operation. We do not warrant that every AAF, metadata field, source application, or export format will be recognized.
13. Limitation of liability
To the maximum extent permitted by law, AAF Ledgers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, productions, or business opportunities. Our total liability arising from the service will not exceed the amount paid by the applicable workspace during the twelve months before the event giving rise to the claim. These limitations do not apply where prohibited by law.
14. Termination
You may stop using the service at any time and workspace owners may cancel renewal online. We may suspend or terminate access for material breach, nonpayment, unlawful use, security risk, or conduct that threatens the service or others. Sections that by their nature should survive termination will survive.
15. Governing law
These Terms are governed by California law, without regard to conflict-of-laws principles. The state and federal courts located in Los Angeles County, California will have exclusive jurisdiction, except where applicable law provides otherwise.
16. Changes and archived versions
We may update these Terms. Material changes will receive a new effective date and version, and prior versions will remain available in the legal archive. When required, we will notify users and obtain renewed acceptance before continued use or purchase.
